Article One: Introduction
This End User License Agreement (“EULA”) constitutes a legal bond between you and Todd L. Gray and Gray Matter Development, LLC., (“GMD” or “Gray Matter”), overseeing your license and usage of audio content owned or licensed by Gray Matter, offered on this website (termed the “Recordings”). All interaction with the Recordings by you is regulated by this EULA.
Careful reading of this EULA is urged, as it forms a legal contract and imposes obligations on you as a user of the Recordings.
BY ENGAGING WITH ANY FREE CONTENT, OR SECURING ANY PRODUCT OR SERVICE FROM THIS WEBSITE, YOU CONSENT TO BE LEGALLY BOUND BY THIS EULA, ACKNOWLEDGING THE LICENSE GRANTS AND TERMS AND CONDITIONS CONTAINED HEREIN.
Article Two: User License
2.1 User License. Subject to this EULA's stipulations, Gray Matter Development, LLC., extends to you a non-transferable, limited right and license to: (i) download and listen to the Recordings you have acquired from this website on your devices; and/or (ii) play the compact disc version of the Recordings you have obtained on your devices.
2.2 Ownership. You recognize that this EULA does not confer any rights in any copyrights or works of authorship owned or licensed by Gray Matter. If any other party holds ownership or co-ownership of the Recordings, you acknowledge such party as a third-party beneficiary entitled to enforce this EULA's relevant terms.
2.3 Restrictions. You are bound by the following usage limitations of the Recordings:
(a) Reproduction or copying of any part of the Recordings is prohibited.
(b) You may not distribute, lease, rent, sell, or share the Recordings.
(c) Alterations, modifications, derivative works, enhancements, or add-ons of the Recordings are forbidden.
(d) Decompilation, reverse engineering, or disassembly of the Recordings is not permitted.
(e) Commercial use or any use beyond personal enjoyment of the Recordings is not allowed.
(f) You must abide by all use restrictions outlined in this Section 2.3 and by U.S. Copyright Law.
Article Three: Changes
Gray Matter Development, LLC., reserves the right to modify the format or content of the Recordings or the media they are contained on and may offer updated Recordings for an additional fee. Gray Matter may also withdraw access to the Recordings at their discretion without notice.
**Article Four: No Medical Advice Provided**
THE RECORDINGS DO NOT OFFER MEDICAL ADVICE and should not replace professional medical consultation. Always seek a healthcare provider's guidance for any medical concerns. Dependence on the Recordings is at your own risk.
Article Five: Disclaimer of Warranties and Liability
5.1 Disclaimer. Gray Matter offers the Recordings "as is" and "as available," without warranty of any kind. ALL WARRANTIES ARE DISCLAIMED, whether express or implied.
5.2 Indemnity. You will defend and indemnify Todd L. Gray and Gray Matter Development, LLC., against any claims or damages related to your EULA breach or misuse of the Recordings.
5.3 Limitation of Liability. GRAY MATTER'S LIABILITY FOR DAMAGES ARISING OUT OF THIS EULA OR RECORDINGS IS LIMITED TO THE FEE YOU PAID FOR THE RECORDINGS.
5.4 Errors; Accuracy; Security. Gray Matter Development, LLC., does not guarantee the Recordings will be error-free or secure, and disclaims any related liability.
Article Six: Miscellaneous
6.1 Choice of Law. This EULA is governed by Oregon law, with Douglas County as the venue for legal proceedings.
6.2 Severability. If any EULA provision is invalid, remaining provisions stay in effect.
6.3 Assignment. This EULA is non-assignable by you.
6.4 Binding Effect. This EULA binds the parties and their successors and permitted assigns.
6.5 Entire EULA. This document is the complete agreement regarding its subject matter.
Article Seven: Registration and Acceptance
By accessing the Recordings, you affirm that you are over 18, capable of entering into a legal contract, and accept all terms of this EULA.
